Disclosure notice regarding holdings in Mekonomen AB

The below-mentioned have signed agreements regarding divestments and acquisition of shares in Mekonomen AB (“Mekonomen”). The divestments and acquisitions are contingent upon that an Extraordinary General Meeting in Mekonomen resolves to reclassify Mekonomen’s Series A shares to Series B shares and on such changes to Mekonomen’s Board that will be proposed by those mentioned below. — Ingemar Fraim has divested 283,070 Series B shares. Subsequently, Ingemar Fraim (with closely related parties) will own 1,600,000 Series A shares and 2,767,466 Series B shares in Mekonomen, which combined represent 14.15 per cent of the share capital and 31.45 per cent of the number of votes in Mekonomen or 14.15 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. In addition, Ingemar Fraim has issued a call option comprising up to 1,578,889 Series B shares. Subsequent to a full exercise of the option, Ingemar Fraim (with closely related parties) will own 1,600,000 Series A shares and 1,188,577 Series B shares in Mekonomen, which combined will represent 9.03 per cent of the share capital and 28.81 per cent of the number of votes in Mekonomen or 9.03 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. — Eva Fraim-Påhlman has issued a call option comprising up to 738,562 Series B shares. Subsequent to a full exercise of the option, Eva Fraim-Påhlman will own 1,301,614 Series B shares in Mekonomen, which combined will represent 4.22 per cent of the share capital and 2.18 per cent of the number of votes in Mekonomen or 4.22 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. — Ing-Marie Fraim Sefastsson has issued a call option comprising up to 738,562 Series B shares. Subsequent to a full exercise of the option, Ing-Marie Fraim Sefastsson will own 1,301,614 Series B shares in Mekonomen, which combined represent 4.22 per cent of the share capital and 2.18 per cent of the number of votes in Mekonomen or 4.22 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. — Leif Möller has divested 1,600,000 Series A shares and 3,004,536 Series B shares. Subsequently, Leif Möller (with closely related parties) will own 61,000 Series B shares in Mekonomen, which combined represent 0.19 per cent of the share capital and 0.10 per cent of the number of votes in Mekonomen or 0.19 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. — Annica Möller has divested 2,032,176 Series B shares. Subsequently, Annica Möller (with closely related parties) will own 1,800 Series B shares in Mekonomen, which combined represent 0.006 per cent of the share capital and 0.003 per cent of the number of votes in Mekonomen or 0.006 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. — Ann-Charlotte Nilsson has divested 2,032,176 Series B shares. Subsequently, Ann-Charlotte Nilsson (with closely related parties) will own 1,600 Series B shares in Mekonomen, which combined represent 0.005 per cent of the share capital and 0.003 per cent of the number of votes in Mekonomen or 0.005 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. Leif Möller, Annica Möller and Ann-Charlotte Nilsson will partially divest the shares in Mekonomen as set out above through companies in accordance with the following. — ALLA Möller AB [1] acquires, through the subsidiary ALLA Möller Holding AB, 1,600,000 Series A shares and 5,268,000 Series B shares in Mekonomen. Through the subsidiary, ALLA Möller AB will subsequently own 1,600,000 Series A shares and 5,268,000 Series B shares in Mekonomen, which combined represent 22.25 per cent of the share capital and 35.64 per cent of the number of votes in Mekonomen or 22.25 per cent of both the share capital and the number of votes in Mekonomen after the reclassification. — ALLA Möller AB has, through divestment of the subsidiary ALLA Möller Holding AB, indirectly divested 1,600,000 Series A shares and 5,268,000 Series B shares in Mekonomen. Subsequently, ALLA Möller AB owns no shares, directly or indirectly, in Mekonomen. [1] ALLA Möller AB is owned equally by Leif Möller, Anita Möller, Annica Möller and Ann-Charlotte Nilsson.
